Supransiol is a product and a trademark of PhytoItalia S.r.l.

The agreement entered into between PhytoItalia S.r.l. (also referred to as the Company) and the Customer shall be deemed concluded upon the acceptance, even if only partial, of the order by PhytoItalia S.r.l.

Such acceptance shall be considered implicit unless otherwise communicated to the Customer by any means. By placing an order using any of the available methods, the Customer declares that they have read all the information provided during the purchase process and fully accept these General Terms and Conditions of Sale as well as the payment terms.

If the Customer is a consumer (that is, a natural person purchasing goods for purposes unrelated to their business or professional activity), once the online purchase procedure has been completed, they shall print or save an electronic copy of these General Terms and Conditions of Sale and keep them, in accordance with Articles 3 and 4 of Italian Legislative Decree No. 185/1999 governing distance selling.

The Customer shall not be entitled to claim compensation or damages of any kind, nor shall PhytoItalia S.r.l. be held liable, whether contractually or otherwise, for any direct or indirect damage to persons and/or property resulting from the non-acceptance, even if only partial, of an order.

SCOPE OF APPLICATION

These General Terms and Conditions form an integral part of every proposal, purchase order and order confirmation relating to the Products sold through the online store phytoitalia.it, by means of which PhytoItalia intends to market the products included in its catalogue.

CONTRACT FORMATION

The purchase of the requested Products shall be completed through the following steps:

By submitting an order, the Customer sends to phytoitalia.it an online purchase proposal for the selected Product(s). Submission of the purchase order implies the Customer’s consent (pursuant to Article 10 of Legislative Decree No. 185/1999) to receive subsequent communications from phytoitalia.it exclusively for the purpose of concluding and performing the sales agreement.

phytoitalia.it reserves the right not to accept incomplete or improperly completed orders.

phytoitalia.it will confirm receipt of the purchase request by email. The confirmation email will contain the information relating to the terms of sale in accordance with Article 4 of Legislative Decree No. 185/1999. The order confirmation constitutes acceptance of the purchase proposal.

The contract shall be deemed concluded and binding upon both parties at the moment the purchase order confirmation is sent to the Customer.

Should the quantity requested by the Customer exceed the stock available for a specific Product, phytoitalia.it shall accept the order only for the quantity actually available in its virtual warehouse. The Customer Service Department of phytoitalia.it will inform the Customer (by telephone, fax or email) whether or not the ordered Products will be available in the future.
DELIVERY TIMES AND METHODS

PhytoItalia shall deliver the Products selected and ordered by the Customer using the shipping method chosen during the purchase process. In any event, in accordance with Article 6 of Italian Legislative Decree No. 185/1999, delivery shall take place within no more than 30 days from the day following the submission of the order to phytoitalia.it.

Shipping costs are charged for orders up to a purchase value of €120. Orders exceeding €120 qualify for free standard shipping.

The applicable shipping costs are displayed under the “Shipping Costs” section.

Delivery of the Products is subject to payment by the Customer of the relevant purchase price using one of the payment methods available on phytoitalia.it and described under the “Payment Methods” section. Any delivery terms or conditions different from those set out in these General Terms and Conditions must be agreed in advance between the Customer and phytoitalia.it and confirmed in writing (by email).

The tax documentation (invoice) shall be issued by phytoitalia.it upon request and delivered to the Customer at the time of delivery, following signature of the delivery note, or electronically by email with the invoice attached.

PRICES

All Product prices displayed on the Website are expressed in Euro (€). Unless otherwise specified, Product prices include VAT and any other applicable taxes. The prices shown for each Product on the Website shall replace and supersede any previously published prices.

WEBSITE LIABILITY

phytoitalia.it shall not be held liable for any failure or delay in the performance of the contract due to force majeure events of any nature whatsoever. Force majeure includes, by way of example but not limited to, actions by public authorities, strikes involving its employees or the carriers used by phytoitalia.it, as well as any other circumstances beyond its reasonable control.
CUSTOMER OBLIGATIONS

Once the online purchase procedure has been completed, the Customer undertakes to print and retain these General Terms and Conditions. The information contained in these General Terms and Conditions must be reviewed and accepted by the Customer before submitting the purchase order, in order to fully comply with the provisions of Articles 3 and 4 of Italian Legislative Decree No. 185/1999. Acceptance is given by ticking the relevant box on the Website. Failing this, the order cannot be processed.

RIGHT OF WITHDRAWAL

The Right of Withdrawal allows consumers to withdraw from any distance purchase within fourteen working days and receive a full refund of the amount paid for the purchase without any penalty, as provided for by Italian Legislative Decree No. 185 of 22 May 1999, which also applies to purchases made via the Internet. The only costs that are not refundable are the shipping costs, which are excluded from the provisions of Legislative Decree No. 185/1999.

Please note that, under European legislation, the right of withdrawal may only be exercised by natural persons (consumers) acting for purposes outside their trade, business or profession.

Therefore, the Right of Withdrawal may NOT be exercised by legal entities or by individuals purchasing goods for purposes related to a business activity. Purchases made by resellers or by persons purchasing products for resale to third parties are also excluded from the Right of Withdrawal. Furthermore, the Right of Withdrawal does not apply to food products which, by their nature, cannot be returned or are liable to deteriorate or expire rapidly.

If, after completing the purchase, the Customer wishes to exercise the Right of Withdrawal, the following procedure must be followed:

Notify the withdrawal in advance by email at info@phytoitalia.it or by telephone on +39 02 97292427.
The customer service representative who receives the call or email will arrange the collection of the parcel, which MUST contain all the items and accessories originally supplied with the Product.
Once phytoitalia.it has verified the integrity of the Product and all accompanying components, the purchase price will be refunded, EXCLUDING the shipping costs. The refund will be processed within 14 days following completion of the above verification.

PAYMENT METHODS

The Customer may pay for the ordered Products using the following methods:

1. PayPal, for Customers with a PayPal account.

2. Credit card or prepaid card through PayPal’s secure payment gateway, for Customers who do not have a PayPal account.

The payment transaction is processed before the Products are delivered.

OFFERS, PROMOTIONS AND FREE GIFTS

Offers published on phytoitalia.it are valid while stocks last and within the purchase limits specified on the Website. Promotions cannot be combined unless otherwise stated.

Promotional Products may be delivered in promotional packaging that differs from the packaging shown on the Website.

Where a Special Offer promoted by phytoitalia.it includes a free Product together with one or more purchased Products, the Customer accepts the free Product upon delivery. Free gift offers are valid while stocks last.

Free Products received by the Customer cannot be exchanged or returned.

Customer Service will contact the Customer within 3 working days of receiving the complaint in order to provide information regarding the handling procedure and expected resolution times.

DISPUTES

Any dispute relating to the application, execution, interpretation or validity of the online contract concluded between the Customer and phytoitalia.it shall be governed by Italian law and subject to the jurisdiction of the Italian courts. The Court of Novara shall have exclusive jurisdiction over any dispute between the parties.

APPLICABLE LAW

Online contracts concluded between the Customer and phytoitalia.it shall be governed by Italian law. For any matter not expressly provided for herein, the applicable provisions of Italian law governing the contractual relationship shall apply.

Pursuant to Articles 1341 and 1342 of the Italian Civil Code, the Customer declares that they have carefully read and expressly accepted these General Terms and Conditions of Sale.
